CommScope has announced an agreement to sell its Connectivity and Cable Solutions (CCS) segment to Amphenol Corporation for approximately $10.5 billion in cash. The transaction is expected to close in the first half of 2026, pending regulatory approvals and a shareholder vote required under Delaware law.
After accounting for taxes and transaction expenses, CommScope anticipates net proceeds of about $10 billion from the sale. The company plans to use these funds to repay all debt and redeem all preferred equity, which is currently held by Carlyle. Any remaining cash will be distributed as a dividend to shareholders within 60 to 90 days after the deal closes. The final amount and timing of this dividend will be determined post-closing.

The company will hold a conference call at 4:30 p.m. Eastern time following the announcement to discuss both the transaction and its second quarter 2025 results.
