CommScope has announced an agreement to sell its Connectivity and Cable Solutions (CCS) segment to Amphenol Corporation for approximately $10.5 billion in cash. The transaction is expected to close in the first half of 2026, pending regulatory approvals and a shareholder vote required under Delaware law.

After accounting for taxes and transaction expenses, CommScope anticipates net proceeds of about $10 billion from the sale. The company plans to use these funds to repay all debt and redeem all preferred equity, which is currently held by Carlyle. Any remaining cash will be distributed as a dividend to shareholders within 60 to 90 days after the deal closes. The final amount and timing of this dividend will be determined post-closing.

“I’m excited to announce this transformational deal that unlocks equity value, returns cash to our shareholders and strengthens our remaining businesses,” said Chuck Treadway, CEO, CommScope. “ANS and RUCKUS will continue to stay focused on what matters most—our shareholders, customers, employees and other stakeholders. In our ANS and RUCKUS businesses, we will continue to develop the next generation of network connectivity. CommScope’s CCS business is positioned to continue to perform well under Amphenol’s leadership.”

The company will hold a conference call at 4:30 p.m. Eastern time following the announcement to discuss both the transaction and its second quarter 2025 results. A live audio webcast will be available through CommScope’s Investor Relations website on the Events and Presentations page, with a replay archived for a limited period.

Evercore is serving as financial advisor while Alston & Bird LLP acts as legal advisor for CommScope during this process.

Additional information regarding the proposed transaction—including proxy statements—will be filed with the Securities and Exchange Commission (SEC). Investors can access these documents without charge at https://www.sec.gov or through CommScope’s investor relations website at https://ir.commscope.com/.
